1. Terms of Business
Ownership and intellectual property
- All designs, code, configuration, written content and other deliverables created by Ecommerce Specialists Ltd for a project (“the Work”), and all intellectual property rights in them, remain the property of Ecommerce Specialists Ltd until every invoice for that project has been paid in full.
- Once payment has been received in full, ownership of the Work transfers to the client. Third-party software, themes, plugins, fonts and stock assets remain subject to their own licence terms. Any reusable tools or code we use across projects are licensed to the client for use on their website.
- Until full payment, the client has a limited licence to view and review the Work only. The Work must not be published, copied, moved to another host, or modified by any third party without our written consent.
- Content, logos, images and trade marks supplied by the client remain the client’s property at all times. Domain names registered in the client’s name remain the client’s property.
Payment
- Instalments are due as set out in the quotation. Where a payment is due on completion, it becomes payable when we notify the client that the Work is ready for launch, whether or not the website has gone live.
- Delays caused by outstanding client content, information, approvals or payment accounts (such as Stripe or PayPal) do not delay any payment.
- Invoices are payable within 14 days of the invoice date.
Non-payment
- If any invoice remains unpaid, in part or in full, after its due date, we may give 7 days’ written notice and then suspend work, withdraw the client’s access to the website and any accounts we manage, and suspend or remove the Work from our servers.
- We may charge interest and fixed-sum compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, together with reasonable costs of recovering the debt.
- If launch is delayed by more than 30 days after the Work is ready, for reasons outside our control, hosting will be charged at our standard rate from that date.
Governing law
- These terms are governed by the law of Northern Ireland. The courts of Northern Ireland have non-exclusive jurisdiction, including for clients based outside Northern Ireland.
